Draft, pending counsel review. Not in force. What this means

What a team gets back depends on how far the work has gone. Every refund goes from the request's escrow vault back to where the request was first funded from: the team's balance or its wallet.

1. Scope

This policy forms part of the Terms of Service between you and [Aligner, Inc.], a Delaware corporation (Aligner). It covers cancelling a funded request and the refunds that follow.

Aligner's users are businesses. Consumer cooling-off and withdrawal rights do not apply to the Service.

2. Cancellation at each stage

StageWho can cancelWhat the team gets back
Funded, no offer acceptedThe team, at any timeAll compensation and the full Service Fee
Offer accepted, nothing submittedTeam and contributor, by agreementWhat the parties agree; if they cannot agree, a dispute decides
Work submittedNo cancellationReview and dispute rules apply
Compensation releasedNo cancellationNothing

3. Before an offer is accepted

A team may withdraw a funded request at any time before a contributor's offer is accepted. The full compensation and the full Service Fee are refunded.

4. After acceptance, before submission

Once an offer is accepted, the contributor may already be working. Either party may propose to cancel. The proposal states how much compensation goes to each side.

If the other party accepts in the Service, the escrow pays out as agreed. If they do not accept within the time the Service shows, either party may open a dispute under Dispute Resolution.

A contributor who abandons accepted work without agreement is not entitled to compensation for it. Repeated abandonment may lead to restrictions under the Terms of Service.

5. After submission

Once work is submitted, the request cannot be cancelled. The team reviews it within 72 hours and may ask for the one included revision, which the contributor delivers within 48 hours.

If the team rejects the work, the contributor may dispute the rejection within 7 days. A rejection that is not disputed results in a refund to the team.

6. Milestone requests

Each stage of a milestone request is treated separately. Cancelling the request affects only the current stage and any later stage that was funded. Stages already released are final.

7. The Service Fee on refunds

The Service Fee is refunded pro rata with the compensation it was charged on. It is not refunded on compensation released to a contributor. See Fees.

8. How refunds arrive

Refunds go from the request's Escrow Vault back to where the request was first funded from: the team's Balance, or the wallet it paid from. The vault cannot send them anywhere else. See Escrow and Payments.

Network fees paid on deposits are not refunded. Refunds are paid in the request's token (USDC, USDT or SOL) on Solana, whatever its value at the time. See Escrow and Payments for transaction risks.

9. If an account is suspended or closed

If Aligner suspends or closes an account, funds in a Balance or a request's escrow are not forfeited. Open requests are wound up under this policy and Dispute Resolution, unless the law requires funds to be held.

10. Contact

Questions about refunds can be sent to [legal@aligner.network].
